Terms of Service

These Terms govern use of ComplyADI (comply.adi.international), operated by Aadidaivam International Private Limited, with its registered office at 506, Hiranandani Signature, GIFT City, Gandhinagar, Gujarat, India – 382355 ("we"). By creating an account you accept them on behalf of yourself and the business you represent.
The service
ComplyADI is accounting and compliance software: bookkeeping, bank reconciliation, invoicing, and GST/TDS record-keeping tools. It is software, not professional advice. We are not your chartered accountant, tax advisor, or lawyer; outputs (including AI-extracted data and suggested classifications) must be reviewed by you or your professional before filing or relying on them.
Accounts
You must provide accurate information and keep credentials secure. You are responsible for actions taken under your account and for your team members' use. One person may not share a login.
Free trial and plans
Trials and plan features are as described at sign-up and may change prospectively. We may set fair-use limits on companies, documents, and messages. Paid plans, once introduced, are billed as stated at purchase; taxes extra as applicable.
Your data
You retain all rights to the business data you upload. You grant us the licence needed to host, process, and display it to you and your authorised users, including processing by our service providers as described in the Privacy Policy. You confirm you are entitled to upload the data you upload.
Acceptable use
No unlawful content, no attempts to breach security or other tenants, no reverse engineering, no scraping, no use of the Platform to build a competing service, no uploading malware, and no false statutory records knowingly created through the Platform.
Accuracy and audit records
The Platform is designed so that posted accounting entries are tamper-evident and corrections happen by reversal, not erasure. AI-assisted extraction is provided with checks, but you are responsible for verifying figures before statutory use.
Availability
We aim for high availability, but the service is provided "as is" and "as available". We may modify or discontinue features with reasonable notice where practical.
Suspension and termination
We may suspend accounts for breach, non-payment, legal requirement, or security risk. You may close your account at any time; export your data first. Clauses that by their nature survive (data, liability, disputes) survive termination.
Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, or penalties arising from filings you make. Our aggregate liability is capped at the fees paid by you in the twelve months preceding the claim, or ten thousand rupees if you have paid none. Nothing limits liability that cannot be limited under Indian law.
Indemnity
You will indemnify us against claims arising from your breach of these Terms or unlawful use of the Platform.
Governing law and disputes
These Terms are governed by the laws of India; the courts at Gandhinagar, Gujarat have exclusive jurisdiction.
